Subcontractor Partner Agreement

This Subcontractor Partner Agreement (the "Agreement") is entered into on the date signed below between Skilled Labor Sub Hub ("SLS") and the company or individual signing below (the "Subcontractor"). It sets the general terms for work SLS offers the Subcontractor. Each job is confirmed in a Work Order (job order confirmation, text or email is fine) that states the scope, location, schedule, rate and pay terms for that job.

1. No obligation, no cost

Joining the SLS network costs nothing and does not obligate the Subcontractor to accept any job, or SLS to offer any. The Subcontractor chooses which Work Orders to accept.

2. Independent Contractor

The Subcontractor is an independent business, not an employee, partner or agent of SLS. The Subcontractor controls its means and methods and is solely responsible for its own crew, payroll, taxes, benefits and workers' compensation, and will provide an IRS Form W-9 before its first payment.

3. Work, schedule and quality

The Subcontractor will perform each accepted Work Order in a good and workmanlike manner, to the plans, specifications, codes and site rules that apply, with properly supervised crews that keep to the schedule. The Subcontractor will tell SLS right away about any delay, injury, dispute or condition affecting the work.

4. Pay

SLS pays the rate stated in each Work Order on the terms stated there. Unless the Work Order says otherwise, SLS pays approved amounts after it is paid by the client for the Subcontractor's work. No change to scope, rate or schedule is valid unless confirmed in writing by SLS.

5. Licensing, legal workforce and safety

The Subcontractor will hold any licenses the work requires; follow all applicable laws, including OSHA, wage-and-hour and work-authorization rules (every crew member must be legally authorized to work in the United States); and keep its people safe. SLS or the client may stop work it reasonably believes is unsafe.

6. Insurance

Before starting a Work Order, the Subcontractor will have on file with SLS a current certificate of insurance (or valid exemption) covering the limits that Work Order or the client requires — typically general liability, workers' compensation and auto. No insurance is needed just to join the network.

7. Responsibility for its work

To the extent permitted by law, the Subcontractor is responsible for, and will hold SLS and its clients harmless from, claims and losses caused by the negligent or wrongful acts of the Subcontractor or its crew. The Subcontractor will keep job sites free of liens arising from its work.

8. Non-Circumvention

For the length of this Agreement and thirty-six (36) months after it ends, the Subcontractor will not work directly for, or solicit work from, any client SLS introduced, except through SLS, and will not solicit SLS workers or agents to bypass SLS. Clients and jobs SLS introduces are SLS relationships.

9. Confidentiality

Client names, job details, rates and other SLS information are confidential and may be used only to perform SLS Work Orders.

10. Term and termination

Either party may end this Agreement at any time with written notice (email or text is sufficient). Work already performed under an accepted Work Order will be paid on its terms.

11. General

This Agreement, with each Work Order, is the entire agreement on this subject. It is governed by the laws of the State of Florida, and any dispute will be heard in Orange County, Florida. Electronic signatures — including checking the agreement box on the SLS sign-up form — are binding.
